Terms and Conditions

UNLEASE Terms and Conditions

By using the site, you agree to use it lawfully, respect the platform and its content, and understand that general educational material is not a substitute for tailored legal, valuation, surveying, or regulated professional advice.

Important information about UNLEASE

UNLEASE provides information, analysis and guidance relating to residential leasehold property in England and Wales.

UNLEASE does not provide legal advice or other regulated or professional advice.

Our findings and suggested next steps are based principally on the information and documents you provide to us. Unless we expressly tell you otherwise, we do not independently verify that information.

UNLEASE reports are intended to help you understand potential issues, possible options and possible next steps. They do not determine your legal position, tell you what you must do or guarantee a particular outcome.

Where appropriate, UNLEASE may suggest that you obtain assistance from a solicitor, surveyor, managing agent or another independent specialist.

These points are explained in more detail below.

1.1 These Terms and Conditions ("Terms") govern your access to and use of UNLEASE, including:

  • (a) the UNLEASE website;

  • (b) your UNLEASE account and portal;

  • (c) the UNLEASE Leasehold Diagnosis;

  • (d) UNLEASE tools and questionnaires;

  • (e) reports, findings, assessments and other outputs;

  • (f) suggested next steps;

  • (g) templates, checklists and suggested correspondence;

  • (h) introductions to independent third-party providers; and

  • (i) other information, functionality and services made available by UNLEASE,

together referred to in these Terms as the "Services".

1.2 References in these Terms to "you" or "your" mean the person accessing or using the Services.

1.3 These Terms take effect when you electronically confirm that you agree to them when creating an UNLEASE account, or at another point where we expressly ask you to accept them.

1.4 If you access parts of the UNLEASE website without creating an account, provisions of these Terms relating to website use, intellectual property, prohibited conduct and liability may still apply to that use.

1.5 You should read these Terms before using the Services.

1.6 If you do not agree to these Terms, you should not create or continue to use an UNLEASE account.

1.7 Our Privacy Policy explains how we process personal information and how we use cookies and similar technologies.

2.1 UNLEASE is the trading name of:

UNLEASE LTD

registered in England and Wales under company number:

17539642

with registered office at:

124 City Road, London, United Kingdom, EC1V 2NX

2.2 References in these Terms to "UNLEASE", "we", "us" or "our" mean UNLEASE LTD.

2.3 UNLEASE is an information, diagnostic and guidance platform intended principally to help people understand and address issues connected with residential leasehold property.

2.4 Services are designed principally for residential leasehold property in England and Wales.

2.5 Property law, housing law, ownership structures and legal procedures differ in Scotland, Northern Ireland and other jurisdictions.

2.6 Unless a particular Service expressly states otherwise, you should not assume that guidance provided by UNLEASE concerning England and Wales applies to property elsewhere.

2.7 You must be at least 18 years old to create an UNLEASE account.

2.8 Anyone aged 18 or over may register, although the Services are likely to be most relevant to people who own, occupy, manage, are considering acquiring, or are otherwise involved with residential leasehold property.

2.9 Any contractual relationship created under these Terms is with UNLEASE LTD.

2.10 No director, shareholder, officer, employee, contractor or other individual acting for UNLEASE enters into a contract with you personally merely because they communicate with you, review information, prepare an output or otherwise act on behalf of UNLEASE.

3.1 Depending on the Service you use, UNLEASE may:

  • (a) ask questions about you, your property or your development;

  • (b) ask about leasehold circumstances, management arrangements or concerns;

  • (c) collect information relating to a property or building;

  • (d) consider documents you provide;

  • (e) analyse information submitted through the platform;

  • (f) identify potential issues or areas that may require attention;

  • (g) identify information that may be missing;

  • (h) provide findings or observations;

  • (i) provide scores, categories, indicators or diagnoses;

  • (j) explain potential risks or opportunities;

  • (k) explain possible options;

  • (l) suggest possible next steps;

  • (m) provide practical guidance;

  • (n) provide templates, suggested wording or checklists;

  • (o) identify situations in which professional assistance may be useful; and

  • (p) facilitate an introduction to an independent third party where appropriate and with your permission.

3.2 The precise nature and scope of each Service may differ.

3.3 The description of a particular tool or feature on the UNLEASE website should be read together with these Terms.

3.4 The existence of a feature, tool, question, score, finding, recommendation or suggested next step does not mean that UNLEASE has undertaken responsibility for matters outside the stated scope of the relevant Service.

3.5 The Diagnosis, tools and reports are provided free of charge.

3.6 Unless we expressly agree otherwise, we do not guarantee:

  • (a) that a particular Service will always be available;

  • (b) that every submission will result in a report;

  • (c) that a report will be provided within a particular period; or

  • (d) that a particular Service will continue to be available indefinitely.

3.7 We may decline to analyse, pause, return, close or discontinue a submission where we reasonably consider that:

  • (a) insufficient information has been provided;

  • (b) the information appears unreliable, inconsistent or materially incomplete;

  • (c) the submission is outside the intended scope of the relevant tool;

  • (d) the matter appears inappropriate for UNLEASE;

  • (e) specialist professional assistance appears more appropriate;

  • (f) the submission appears fraudulent, abusive or suspicious;

  • (g) processing it may create a legal, regulatory, operational or security risk;

  • (h) the relevant Service is unavailable or has been withdrawn; or

  • (i) there is another legitimate reason why it would be inappropriate or impractical for UNLEASE to continue.

4.1 UNLEASE provides information and guidance designed to help you understand potential issues and possible ways to resolve them.

4.2 Unless we expressly enter into a separate written agreement stating otherwise, UNLEASE does not provide:

  • (a) legal advice;

  • (b) legal representation;

  • (c) reserved or regulated legal services;

  • (d) mortgage advice;

  • (e) regulated financial advice;

  • (f) investment advice;

  • (g) tax advice;

  • (h) accounting advice;

  • (i) an audit;

  • (j) surveying advice;

  • (k) a building survey;

  • (l) a property valuation;

  • (m) structural engineering advice;

  • (n) fire-safety certification;

  • (o) building-safety certification;

  • (p) health and safety certification; or

  • (q) any other regulated, certified or formally professional opinion.

4.3 UNLEASE is not a firm of solicitors.

4.4 Using UNLEASE does not create a solicitor-client, lawyer-client or other professional adviser-client relationship between you and UNLEASE.

4.5 Communications with UNLEASE and documents supplied to us should not be assumed to benefit from legal professional privilege.

4.6 UNLEASE does not become your solicitor, barrister, surveyor, accountant, mortgage adviser, managing agent, property manager, trustee, fiduciary or other professional adviser merely because you use the Services.

4.7 UNLEASE may provide findings and suggest possible next steps based on the information available to us.

4.8 A suggested next step means only that it is an option that may be worth considering in light of the information available.

4.9 A suggested next step does not mean that:

  • (a) you are required to take that step;

  • (b) UNLEASE is instructing you to take it;

  • (c) UNLEASE has authorised or sanctioned the action;

  • (d) it is necessarily the only option available;

  • (e) it will necessarily be appropriate in every respect; or

  • (f) it guarantees a particular outcome.

4.10 You remain responsible for deciding what action, if any, you take.

4.11 Where a decision could materially affect your legal rights, finances, property, transaction or another person, you should consider obtaining appropriate professional advice before acting.

5.1 The usefulness and accuracy of UNLEASE outputs depend substantially on the information available to us.

5.2 You are responsible for taking reasonable care to ensure that information you provide is:

  • (a) accurate;

  • (b) complete to the extent reasonably possible;

  • (c) not knowingly misleading; and

  • (d) reasonably up to date.

5.3 Where material information is uncertain, estimated, incomplete or disputed, you should make that clear where reasonably possible.

5.4 You should not assume that UNLEASE will identify an error merely because information provided to us appears inconsistent.

5.5 If you subsequently discover that material information supplied to us was incorrect or incomplete, you should take this into account before relying on an earlier UNLEASE output.

Acting for another person or organisation

5.6 You do not necessarily need to be the registered owner of a property to use UNLEASE.

5.7 If you use UNLEASE in connection with:

  • (a) another person's property;

  • (b) another leaseholder;

  • (c) a family member;

  • (d) an RMC;

  • (e) an RTM company;

  • (f) a residents' association;

  • (g) a company, trust or organisation; or

  • (h) another person or entity,

you are responsible for ensuring that you have any authority reasonably required to provide information or act on their behalf.

5.8 You must not knowingly represent that you have authority to act for another person or entity where you do not.

5.9 Unless we expressly agree otherwise, UNLEASE is entitled to rely on information you provide regarding your identity, ownership, role, authority and relationship with a property.

Documents

5.10 UNLEASE may allow you to upload or provide documents including:

  • (a) leases;

  • (b) service-charge demands;

  • (c) accounts and budgets;

  • (d) invoices;

  • (e) major works or Section 20 correspondence;

  • (f) managing-agent correspondence;

  • (g) freeholder correspondence;

  • (h) insurance information;

  • (i) building information;

  • (j) financial information;

  • (k) notices;

  • (l) professional reports; and

  • (m) other relevant property material.

5.11 You should only provide documents that you are reasonably entitled to provide to us.

5.12 Documents may contain information relating to other people.

5.13 You are responsible for considering whether it is appropriate and lawful for you to provide that information to UNLEASE.

5.14 You must not knowingly upload material:

  • (a) unlawfully;

  • (b) in breach of a court order;

  • (c) in breach of another person's intellectual property rights;

  • (d) for a fraudulent or malicious purpose;

  • (e) containing malware or malicious code; or

  • (f) where you know that you have no lawful right to provide it.

5.15 Our processing of personal information contained in uploaded documents is governed by our Privacy Notice and applicable data-protection law.

Reliance on information supplied to us

6.1 Unless we expressly tell you otherwise, UNLEASE relies principally on information and documents supplied by you.

6.2 We do not undertake to independently verify that information.

6.3 In particular, unless expressly stated otherwise, UNLEASE is not required to check information against:

  • (a) HM Land Registry;

  • (b) Companies House;

  • (c) court or tribunal records;

  • (d) local authority records;

  • (e) government databases;

  • (f) the managing agent;

  • (g) the landlord or freeholder;

  • (h) other leaseholders;

  • (i) professional advisers;

  • (j) a physical inspection of the property; or

  • (k) any other external source.

6.4 UNLEASE may occasionally carry out checks or obtain external information where we consider this useful.

6.5 The fact that we carry out a check in one case does not create an obligation to carry out the same or any check in another case.

6.6 Unless we expressly confirm otherwise, a check we elect to undertake:

  • (a) does not amount to formal verification;

  • (b) does not mean that all relevant information has been checked;

  • (c) does not transfer responsibility for the accuracy of your information to UNLEASE; and

  • (d) should not be treated as a guarantee that information is correct.

Nature of UNLEASE outputs

6.7 UNLEASE reports, diagnoses, scores and other outputs are intended to help identify and understand potential issues.

6.8 They are not comprehensive professional investigations.

6.9 UNLEASE does not guarantee that an output will:

  • (a) identify every issue affecting a property;

  • (b) identify every legal right available;

  • (c) identify every potential claim;

  • (d) identify every defence another person may have;

  • (e) identify every relevant document;

  • (f) identify every factual error;

  • (g) identify every compliance issue;

  • (h) identify every financial risk;

  • (i) identify every management problem;

  • (j) identify every sale or remortgage risk;

  • (k) identify every available professional or supplier;

  • (l) identify every possible course of action; or

  • (m) reach the same conclusion as a solicitor, surveyor, accountant, lender, valuer, court, tribunal, regulator or other professional or decision-maker.

6.10 A score, rating, category, readiness assessment, risk indicator or diagnosis is an UNLEASE analytical output.

6.11 It is not a formal legal determination, certification, professional opinion or guarantee.

6.12 An UNLEASE assessment considering Right to Manage, freehold purchase, lease extension or another legal route does not by itself conclusively determine legal eligibility or entitlement.

6.13 An indication that a cost, management practice, document or building issue may warrant further investigation does not establish that another person has acted unlawfully, negligently or in breach of duty.

Documents

6.14 UNLEASE does not guarantee that every document relevant to your circumstances has been supplied or identified.

6.15 Unless expressly stated otherwise, UNLEASE does not:

  • (a) authenticate documents;

  • (b) verify signatures;

  • (c) establish that a document is complete;

  • (d) establish that a document is legally valid;

  • (e) establish that a notice has been properly served;

  • (f) undertake forensic document examination;

  • (g) conduct an audit;

  • (h) verify every calculation contained in a document; or

  • (i) conclusively determine what a court or tribunal would decide about it.

Errors and changes

6.16 Despite reasonable efforts, an UNLEASE output may contain an error, omission or interpretation with which another person or professional disagrees.

6.17 Information may also become inaccurate after a report is prepared.

6.18 Leasehold law, case law, regulation, government guidance, lender requirements, industry practice, building circumstances, ownership arrangements and third-party information may change.

6.19 An UNLEASE report reflects the information and circumstances available when it was prepared.

6.20 Unless we expressly agree otherwise, UNLEASE has no continuing obligation to:

  • (a) monitor your property or development;

  • (b) monitor a dispute;

  • (c) monitor changes to your circumstances;

  • (d) monitor changes in law or regulation;

  • (e) revisit an earlier conclusion;

  • (f) update an earlier report; or

  • (g) notify you that an earlier output may have become outdated.

6.21 If significant time has passed or circumstances have changed, you should not assume that an earlier report remains current.

No guaranteed outcome

6.22 UNLEASE does not guarantee any particular outcome from using the Services or following a suggested next step.

6.23 Without limitation, we do not guarantee that using UNLEASE will:

  • (a) reduce service charges;

  • (b) recover money;

  • (c) prevent future charges;

  • (d) resolve a dispute;

  • (e) establish wrongdoing;

  • (f) result in a successful challenge;

  • (g) result in success before a court or tribunal;

  • (h) result in successful Right to Manage;

  • (i) result in successful acquisition of a freehold;

  • (j) result in a successful lease extension;

  • (k) cause another leaseholder to participate;

  • (l) cause a landlord or freeholder to cooperate;

  • (m) cause a managing agent to change its behaviour;

  • (n) reduce insurance, contractor or supplier costs;

  • (o) result in a better managing agent;

  • (p) improve management of a building;

  • (q) remedy a building defect;

  • (r) improve building safety;

  • (s) enable a sale to proceed;

  • (t) prevent a sale from being delayed or falling through;

  • (u) enable you to obtain a mortgage or remortgage;

  • (v) obtain a particular mortgage rate;

  • (w) preserve or increase the market value of a property; or

  • (x) produce any particular legal, financial, commercial, management or property outcome.

6.24 Many outcomes depend upon decisions or actions by people and organisations outside UNLEASE's control.

Deadlines and formal procedures

7.1 UNLEASE does not assume responsibility for protecting or preserving your legal rights merely because you use a Diagnosis, tool or report.

7.2 Unless we expressly agree otherwise in writing, UNLEASE does not undertake to:

  • (a) identify every applicable deadline;

  • (b) calculate limitation periods;

  • (c) monitor statutory deadlines;

  • (d) monitor tribunal or court deadlines;

  • (e) monitor consultation or Section 20 deadlines;

  • (f) monitor conveyancing or mortgage deadlines;

  • (g) monitor contractual notice periods;

  • (h) serve statutory notices;

  • (i) submit court or tribunal applications;

  • (j) commence proceedings;

  • (k) preserve a claim;

  • (l) respond to proceedings on your behalf; or

  • (m) remind you that a deadline is approaching.

7.3 If you are dealing with an existing or potential legal deadline, formal notice or dispute, you remain responsible for ensuring appropriate action is taken in time.

Templates and correspondence

7.4 UNLEASE may provide:

  • (a) template letters;

  • (b) suggested wording;

  • (c) draft correspondence;

  • (d) questions to ask another party;

  • (e) checklists;

  • (f) document lists; or

  • (g) other practical materials.

7.5 These are provided as informational starting points.

7.6 Unless expressly stated otherwise, they are not:

  • (a) legal documents prepared or approved by a solicitor;

  • (b) legal advice;

  • (c) formal statutory notices;

  • (d) guaranteed to satisfy a particular legal requirement; or

  • (e) guaranteed to be suitable for your individual circumstances without amendment.

7.7 You are responsible for checking a document before you send, sign, submit or rely upon it.

7.8 Where correspondence or documentation may materially affect legal rights or is subject to formal requirements, you should consider obtaining appropriate professional advice before using it.

Communications with others

7.9 Providing guidance about communicating with a freeholder, managing agent, solicitor, contractor or another person does not make UNLEASE your representative.

7.10 UNLEASE will not ordinarily communicate or negotiate with another person on your behalf.

7.11 If you expressly authorise UNLEASE to contact another person in a particular situation, that authority applies only to the communication or purpose agreed.

7.12 It does not generally appoint UNLEASE as your agent, legal representative, managing agent or person authorised to bind you.

8.1 UNLEASE may suggest that you would benefit from speaking to an independent specialist.

8.2 This may include:

  • (a) a solicitor;

  • (b) barrister;

  • (c) surveyor;

  • (d) valuer;

  • (e) managing agent;

  • (f) accountant;

  • (g) mortgage adviser;

  • (h) insurance specialist;

  • (i) contractor;

  • (j) compliance specialist;

  • (k) building professional; or

  • (l) another provider.

8.3 UNLEASE may identify a type of specialist or one or more particular providers who may be able to assist.

8.4 You are not required to appoint a provider merely because UNLEASE identifies or recommends them.

8.5 You remain free to choose your own provider.

Introductions

8.6 Where appropriate, UNLEASE may facilitate an introduction between you and an independent provider.

8.7 We will normally obtain your permission before providing your contact details to a provider for the purpose of making an introduction.

8.8 Once an introduction has been made, any professional or commercial relationship that follows is between you and the third-party provider unless UNLEASE expressly agrees otherwise.

8.9 The provider is responsible for:

  • (a) deciding whether to accept your matter;

  • (b) agreeing its scope of work;

  • (c) providing its own advice or services;

  • (d) setting its fees;

  • (e) entering into its own terms with you;

  • (f) meeting its professional and regulatory obligations; and

  • (g) the quality and outcome of its work.

8.10 A provider does not become an employee, partner or agent of UNLEASE merely because we identify, recommend or introduce it.

Provider checks

8.11 UNLEASE may carry out checks or due diligence that we consider appropriate when selecting or dealing with potential providers.

8.12 The nature and extent of those checks are determined by UNLEASE and may differ between providers or categories of provider.

8.13 Those checks are principally undertaken for UNLEASE's own provider-selection and commercial purposes.

8.14 Unless expressly stated otherwise, they do not constitute:

  • (a) formal accreditation;

  • (b) certification;

  • (c) an audit;

  • (d) a guarantee of competence;

  • (e) a guarantee of regulatory compliance;

  • (f) a guarantee of financial standing;

  • (g) a warranty that the provider is suitable for your circumstances; or

  • (h) continuous monitoring of the provider.

8.15 Circumstances concerning a provider may change after checks have been carried out.

8.16 You should make any enquiries you consider appropriate before appointing a provider.

Commercial relationships

8.17 UNLEASE may have commercial relationships with some third-party providers.

8.18 These arrangements may include referral fees, commissions or other financial or commercial benefits.

8.19 Where applicable law or professional rules require a particular arrangement or interest to be disclosed in connection with an introduction, the relevant disclosure may be provided at the appropriate stage of that introduction.

8.20 A commercial relationship does not require you to appoint the provider concerned.

9.1 You are responsible for maintaining reasonable security over your UNLEASE account.

9.2 You must:

  • (a) provide reasonably accurate registration details;

  • (b) keep your login credentials confidential;

  • (c) not deliberately allow another person to impersonate you;

  • (d) notify us if you reasonably believe your account has been compromised; and

  • (e) cooperate with reasonable security checks where required.

9.3 You must not attempt to access another person's account without authority.

9.4 We may require you to verify your identity or authority before:

  • (a) restoring access;

  • (b) changing sensitive account information;

  • (c) releasing information; or

  • (d) dealing with certain account requests.

10.1 You must use UNLEASE lawfully and in a way that does not compromise the Services or the rights of others.

10.2 You must not:

  • (a) use UNLEASE for fraud or unlawful activity;

  • (b) deliberately provide materially false or misleading information;

  • (c) impersonate another person;

  • (d) falsely claim authority to represent another person or organisation;

  • (e) attempt to gain unauthorised access to UNLEASE systems;

  • (f) attempt to access another user's information without authority;

  • (g) introduce malware or malicious code;

  • (h) conduct or assist a denial-of-service attack;

  • (i) deliberately interfere with the availability or operation of UNLEASE;

  • (j) circumvent authentication, security measures or access controls;

  • (k) probe, scan or test our systems for vulnerabilities without prior written permission;

  • (l) deliberately circumvent technical or usage limits;

  • (m) use bots, scripts or automated systems to access the Services where we have not permitted them;

  • (n) use the Services to harass, threaten or unlawfully target another person;

  • (o) make fraudulent or abusive requests or submissions; or

  • (p) encourage or assist another person to do any of these things.

10.3 Nothing in these Terms prevents you from:

  • (a) making a genuine complaint;

  • (b) exercising a legal right;

  • (c) communicating honestly about your experience;

  • (d) obtaining independent advice; or

  • (e) contacting a regulator, ombudsman, court, tribunal or law-enforcement authority where you are entitled to do so.

11.1 The UNLEASE platform and its original materials are owned by or licensed to UNLEASE.

11.2 These may include:

  • (a) software;

  • (b) source code and object code;

  • (c) database structures;

  • (d) user-interface designs;

  • (e) branding and logos;

  • (f) text and graphics;

  • (g) questionnaires and question structures;

  • (h) scoring structures;

  • (i) diagnostic frameworks;

  • (j) classifications;

  • (k) methodologies;

  • (l) workflows;

  • (m) reports;

  • (n) templates;

  • (o) decision-support structures;

  • (p) tool architecture;

  • (q) research;

  • (r) datasets; and

  • (s) other proprietary materials.

11.3 These materials may be protected by copyright, database rights, trade mark rights and other intellectual-property rights.

11.4 Using UNLEASE does not transfer ownership of those rights to you.

11.5 Subject to these Terms, you may use reports and outputs supplied to you for legitimate purposes connected with the relevant property or circumstances.

11.6 Unless we give prior written permission, you must not systematically:

  • (a) copy UNLEASE questionnaires or question sets;

  • (b) reproduce UNLEASE tool structures;

  • (c) extract UNLEASE databases;

  • (d) scrape, crawl or systematically extract content from the platform;

  • (e) reproduce a substantial part of UNLEASE content;

  • (f) reverse engineer proprietary features or methodologies;

  • (g) recreate UNLEASE scoring or diagnostic systems;

  • (h) use UNLEASE materials to develop, operate or improve a competing commercial product or service;

  • (i) compile a competing dataset from UNLEASE;

  • (j) benchmark or map the platform for the purpose of reproducing its functionality;

  • (k) sell, sublicense or commercially redistribute UNLEASE proprietary materials;

  • (l) remove proprietary notices; or

  • (m) use substantial UNLEASE proprietary material to train, fine-tune, develop or evaluate an external artificial-intelligence or machine-learning system for commercial or competitive purposes.

11.7 Nothing in this section prevents ordinary personal use of your own report.

11.8 UNLEASE reserves all intellectual-property rights not expressly granted.

12.1 You may reasonably share an UNLEASE report or output where this is connected with the relevant property or issue.

12.2 This may include sharing it with:

  • (a) another leaseholder;

  • (b) an RMC or RTM company director;

  • (c) a resident;

  • (d) a managing agent;

  • (e) a landlord or freeholder;

  • (f) a solicitor or other professional adviser;

  • (g) a lender;

  • (h) a valuer;

  • (i) a buyer; or

  • (j) an estate agent.

12.3 Unless UNLEASE expressly agrees otherwise in writing, an output is prepared for the user to whom it is provided.

12.4 Sharing an output does not:

  • (a) make the recipient a client or user of UNLEASE;

  • (b) create a contract between UNLEASE and the recipient;

  • (c) mean UNLEASE assumes responsibility to the recipient; or

  • (d) give the recipient a right to rely on the output as though it had been prepared specifically for them.

12.5 A third party requiring formal reliance should obtain its own appropriate professional advice.

12.6 UNLEASE outputs are not intended to operate as:

  • (a) formal valuation reports;

  • (b) lender reliance reports;

  • (c) expert evidence;

  • (d) professional certificates;

  • (e) legal opinions; or

  • (f) professional due-diligence reports on which an unrelated third party is entitled to rely.

13.1 You retain any ownership rights you have in documents and material you provide to UNLEASE.

13.2 You give UNLEASE permission to host, copy, access, process, analyse and otherwise use that material to the extent reasonably necessary to:

  • (a) operate the Services;

  • (b) assess your submission;

  • (c) produce your report or output;

  • (d) provide support;

  • (e) maintain security;

  • (f) investigate misuse;

  • (g) keep appropriate records;

  • (h) comply with legal obligations; and

  • (i) exercise our rights under these Terms.

13.3 Our Privacy Notice explains:

  • (a) what personal information we collect;

  • (b) how we use it;

  • (c) our legal bases for processing;

  • (d) who information may be shared with;

  • (e) how long information may be retained;

  • (f) your data-protection rights; and

  • (g) how we use cookies and similar technologies.

13.4 Closing your UNLEASE account or requesting deletion of information does not necessarily require every record relating to your account or use of UNLEASE to be immediately destroyed.

13.5 Subject to applicable law, UNLEASE may retain records where reasonably necessary for purposes including:

  • (a) compliance with legal obligations;

  • (b) establishing what information or guidance was provided;

  • (c) exercising or defending legal claims;

  • (d) responding to complaints;

  • (e) security;

  • (f) fraud prevention;

  • (g) preventing or investigating misuse; and

  • (h) maintaining appropriate business and compliance records.

13.6 Nothing in these Terms limits data-protection rights that applicable law gives you.

14.1 The Services are provided free of charge at launch.

14.2 We do not guarantee that UNLEASE will always be:

  • (a) available;

  • (b) uninterrupted;

  • (c) error free;

  • (d) free from delay; or

  • (e) compatible with every device, browser or system.

14.3 UNLEASE may be unavailable because of:

  • (a) maintenance;

  • (b) upgrades;

  • (c) technical problems;

  • (d) cybersecurity incidents;

  • (e) internet or telecommunications failures;

  • (f) hosting or third-party technology failures; or

  • (g) circumstances outside our reasonable control.

14.4 You should not use UNLEASE as the sole repository for a document where losing immediate access to that document could materially affect you.

14.5 You should retain your own copies of important original documents and records.

14.6 UNLEASE is an evolving platform.

14.7 We may introduce, remove, replace, limit, suspend or modify free:

  • (a) tools;

  • (b) Diagnoses;

  • (c) questionnaires;

  • (d) reports;

  • (e) features;

  • (f) portal functionality;

  • (g) content; or

  • (h) other Services.

14.8 The fact that a feature is available at one time does not mean that we undertake to provide it indefinitely.

14.9 Where reasonably practicable, we may provide notice of material changes, but advance notice may not be possible where a change is required urgently for security, legal, technical or operational reasons.

Immediate suspension

15.1 We may immediately restrict, suspend or disable access to some or all of UNLEASE where we reasonably suspect:

  • (a) a breach of these Terms;

  • (b) fraud;

  • (c) unlawful activity;

  • (d) misuse of the Services;

  • (e) unauthorised access;

  • (f) a cybersecurity risk;

  • (g) abuse of our systems;

  • (h) interference with the Services;

  • (i) abuse, harassment or threats towards UNLEASE personnel;

  • (j) a risk to another user;

  • (k) a risk to UNLEASE or a third party;

  • (l) that information supplied may be fraudulent or materially misleading; or

  • (m) another circumstance requiring investigation or immediate protective action.

15.2 We may take this action without prior notice where we reasonably consider immediate action appropriate.

15.3 Suspension while we investigate does not mean that we have necessarily concluded that wrongdoing has occurred.

15.4 We may preserve relevant information, records and logs where reasonably required to investigate an incident, comply with law or protect our rights.

Refusal or ending of free Services

15.5 UNLEASE may refuse to create an account or cease providing some or all free Services where we reasonably consider continued provision:

  • (a) inappropriate;

  • (b) impractical;

  • (c) outside our intended service scope;

  • (d) excessively burdensome;

  • (e) likely to create legal, regulatory, security or operational risk;

  • (f) inconsistent with the proper operation of UNLEASE; or

  • (g) otherwise unsuitable in the circumstances.

15.6 We may also withdraw a free Service generally.

15.7 Because the launch Services are free, access is not guaranteed indefinitely.

15.8 Where there is no immediate security, legal or misconduct concern, we may provide notice where we consider it reasonably appropriate, but we do not undertake to maintain a free account or free Service permanently.

15.9 Ending access does not affect rights or obligations that arose beforehand.

Misuse

15.10 UNLEASE reserves all rights and remedies available under applicable law.

15.11 Where a person deliberately attacks, damages, interferes with, unlawfully accesses, copies or misuses UNLEASE, we may where appropriate:

  • (a) suspend or terminate access;

  • (b) preserve evidence;

  • (c) investigate the activity;

  • (d) notify relevant technology or service providers;

  • (e) notify insurers;

  • (f) report suspected criminal activity;

  • (g) cooperate with law enforcement or regulators;

  • (h) seek an injunction;

  • (i) seek damages or other available remedies; or

  • (j) take other proportionate steps to protect UNLEASE and its users.

Liability that cannot be excluded

16.1 Nothing in these Terms excludes or restricts liability where it would be unlawful to do so.

16.2 In particular, nothing excludes or restricts liability for:

  • (a) death or personal injury caused by negligence where liability cannot lawfully be excluded;

  • (b) fraud or fraudulent misrepresentation; or

  • (c) any consumer right or liability that applicable law does not allow us to exclude or restrict.

16.3 Where applicable law requires UNLEASE to perform a Service with reasonable care and skill, these Terms do not remove that requirement.

Scope of UNLEASE's responsibility

16.4 Subject to section 16.1 to 16.3, UNLEASE's responsibility is limited to the Services that we have actually undertaken to provide.

16.5 Using one UNLEASE tool does not appoint UNLEASE to investigate every issue affecting your property or circumstances.

16.6 For example, using a service-charge tool does not automatically appoint UNLEASE to:

  • (a) conduct a complete legal analysis of your lease;

  • (b) audit service-charge accounts;

  • (c) investigate every supplier or transaction;

  • (d) inspect the building;

  • (e) identify every legal right or claim;

  • (f) manage deadlines; or

  • (g) provide another UNLEASE Service.

Information and circumstances outside our control

16.7 Subject always to liability that cannot lawfully be excluded or restricted, UNLEASE is not responsible for loss to the extent that the loss results from:

  • (a) materially inaccurate information supplied to us;

  • (b) materially incomplete information supplied to us;

  • (c) material information being withheld;

  • (d) an illegible, incomplete or outdated document;

  • (e) materially incorrect information supplied by another person;

  • (f) circumstances changing after an output is prepared;

  • (g) reliance on an old report without considering whether it remains current;

  • (h) use of an output for a materially different purpose from that for which it was provided;

  • (i) a decision, act or omission of an independent third party;

  • (j) the work or advice of an independent provider;

  • (k) failure by a landlord, managing agent, leaseholder or another person to cooperate;

  • (l) a decision of a lender, buyer, valuer, court, tribunal, regulator or other independent decision-maker;

  • (m) a matter outside the stated scope of the relevant Service;

  • (n) failure to obtain specialist professional advice where UNLEASE has clearly indicated that such advice may be required;

  • (o) failure to act on a clear warning that urgent or specialist assistance may be needed;

  • (p) failure to protect or comply with a deadline that UNLEASE had not expressly undertaken to manage; or

  • (q) circumstances outside our reasonable control.

Your decisions

16.8 UNLEASE helps identify potential issues and possible next steps but does not make decisions for you.

16.9 You remain responsible for deciding:

  • (a) whether to act;

  • (b) when to act;

  • (c) what correspondence to send;

  • (d) whether to challenge another person;

  • (e) whether to commence proceedings;

  • (f) whether to instruct a professional;

  • (g) which professional to instruct;

  • (h) whether to incur costs; and

  • (i) whether a particular course of action is appropriate.

16.10 The existence of an UNLEASE recommendation or suggestion does not by itself transfer responsibility for your decision to UNLEASE.

16.11 This does not reduce any responsibility UNLEASE has for performing a Service it has actually agreed to provide with the standard required by law.

Third-party providers

16.12 An independent provider is responsible for its own services, advice, conduct and contractual relationship with you.

16.13 UNLEASE does not become responsible for a third party's acts or omissions solely because UNLEASE has identified, recommended or introduced that provider.

Third-party reliance

16.14 Unless UNLEASE expressly agrees otherwise in writing, UNLEASE does not assume responsibility to another person merely because that person receives, reads or becomes aware of an UNLEASE report or output.

UNLEASE personnel

16.15 The Services are provided by UNLEASE LTD.

16.16 No director, shareholder, officer, employee or contractor assumes personal contractual responsibility to you merely by performing work for, or communicating on behalf of, UNLEASE.

16.17 To the extent permitted by law, directors, officers, employees and contractors of UNLEASE may rely on provisions of these Terms that are intended to protect them as well as UNLEASE.

16.18 Those persons may enforce this clause and any such protection under the Contracts (Rights of Third Parties) Act 1999.

16.19 Nothing in this section excludes or restricts personal liability that applicable law does not permit to be excluded or restricted.

17.1 If you have a complaint about UNLEASE, please contact:

complaints@unlease.co.uk

17.2 Please provide sufficient information for us to understand the complaint, including where relevant:

  • (a) your name;

  • (b) your account details;

  • (c) the property concerned;

  • (d) the relevant tool or report; and

  • (e) what you believe has gone wrong.

17.3 We may request additional information where reasonably necessary to investigate.

17.4 If UNLEASE publishes a separate Complaints Policy, that policy should also be read where relevant.

17.5 Using our complaints process does not prevent you from exercising any statutory right or remedy.

18.1 We may amend these Terms from time to time, including to reflect:

  • (a) changes to UNLEASE;

  • (b) new functionality;

  • (c) changes in law or regulation;

  • (d) security requirements;

  • (e) changes to our operating model; or

  • (f) clarification of existing provisions.

18.2 The current version will display a version number and effective date.

18.3 A revised version will normally apply to use of UNLEASE after it takes effect.

18.4 Where appropriate, we may:

  • (a) notify you about a material change; or

  • (b) require you to accept updated Terms before continuing to use some or all of the Services.

18.5 We may retain historical versions so that we can identify the Terms that applied at a particular time.

18.6 We will not rely on a change to these Terms to remove a consumer right that applicable law does not permit us to remove.

19.1 UNLEASE may communicate with you in connection with the Services by:

  • (a) email;

  • (b) notifications within your account;

  • (c) messages displayed through the platform; or

  • (d) another reasonable electronic method.

19.2 You are responsible for keeping the contact details associated with your account reasonably up to date.

19.3 A service-related communication is different from a marketing communication.

19.4 Your rights and choices concerning marketing communications are explained in our Privacy Notice and any relevant consent wording.

19.5 Where these Terms require you to contact UNLEASE, you may use the contact details stated in section 21 unless another contact method is expressly specified.

Events outside our reasonable control

20.1 UNLEASE is not responsible for failure or delay in providing a Service to the extent caused by circumstances outside our reasonable control.

20.2 These may include:

  • (a) major internet or telecommunications failures;

  • (b) hosting or infrastructure outages;

  • (c) cyberattacks by third parties;

  • (d) failure of an external technology provider;

  • (e) interruption to utilities;

  • (f) governmental action;

  • (g) natural disasters;

  • (h) civil emergencies; or

  • (i) other events that we could not reasonably prevent.

Transfer of UNLEASE

20.3 We may transfer our rights and obligations under these Terms to another organisation as part of:

  • (a) a sale of UNLEASE;

  • (b) merger;

  • (c) acquisition;

  • (d) corporate reorganisation;

  • (e) financing;

  • (f) restructuring; or

  • (g) transfer of the relevant part of our business.

20.4 Any transfer will remain subject to applicable law.

No agency or partnership

20.5 Nothing in these Terms creates a:

  • (a) partnership;

  • (b) joint venture;

  • (c) employment relationship;

  • (d) fiduciary relationship; or

  • (e) general agency relationship

between you and UNLEASE.

20.6 Except where expressly authorised for a particular purpose, UNLEASE cannot bind you and you cannot bind UNLEASE.

Entire agreement

20.7 These Terms, together with any terms expressly incorporated into them, govern your use of the Services.

20.8 Nothing in this clause excludes:

  • (a) liability for fraud or fraudulent misrepresentation; or

  • (b) rights arising from information or statements that applicable consumer law requires to form part of the contractual relationship.

20.9 If information on a particular UNLEASE page expressly gives you a more specific commitment concerning a Service, that commitment may apply alongside these Terms.

Third-party rights

20.10 Except for the rights expressly granted to UNLEASE personnel under section 16, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.

Severability

20.11 Each provision of these Terms is intended to operate separately.

20.12 If a court or other competent authority determines that a provision, or part of a provision, is unlawful or unenforceable, the remaining provisions will continue to apply so far as legally possible.

Waiver

20.13 If UNLEASE does not immediately enforce a right under these Terms, this does not mean that the right has been waived.

20.14 A waiver concerning one event does not necessarily apply to another event.

Governing law and jurisdiction

20.15 These Terms are governed by the law of England and Wales.

20.16 If you are a consumer, you may bring proceedings in any court available to you under applicable consumer law.

20.17 Nothing in these Terms removes mandatory consumer protections or jurisdictional rights that applicable law does not permit us to remove.
